Terms and Conditions

These Terms and Conditions ("Agreement") govern your access to and use of the Market Radar app, made available through Microsoft AppSource by Theil IT Management ("Provider", "we", or "us"). By installing, accessing, or using the App, you ("Customer", "you", or "your") agree to be bound by the terms of this Agreement.

1. Grant of License​

We grant you a limited, non-exclusive, non-transferable right to access and use the App solely for your internal business purposes, subject to your compliance with this Agreement and applicable law.

2. Customer Responsibilities​

You are responsible for:

  • Ensuring that your use of the App complies with all applicable laws and regulations.
  • Maintaining the confidentiality and security of your access credentials.
  • The accuracy of all data provided and processed through the App.

3. Ownership and Intellectual Property​

The App and all related intellectual property rights are and remain the sole property of Theil IT Management or its licensors. No rights are granted to you other than as expressly set forth herein.

4. Data Handling and Privacy​

Your data remains your property. We will access, process, and store data only to the extent necessary to provide the App functionality. You retain responsibility for any personal data entered into the App and for ensuring compliance with applicable data protection laws.

5. Support and Updates​

The App may be updated periodically to add features, enhance security, or improve functionality. Support services, including service levels and availability, are defined separately in our support documentation.

6. Fees and Payment​

If the App is provided on a paid basis, pricing and billing terms are defined in the Microsoft AppSource listing and are subject to Microsoft's commercial marketplace billing processes. You agree to pay all fees as described.

7. Termination​

We may suspend or terminate your access to the App at any time if you breach this Agreement. Upon termination, your rights to access and use the App will immediately cease.

8. Disclaimer of Warranties​

The App is provided "as-is". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability​

To the maximum extent permitted by law, in no event shall Theil IT Management be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, even if advised of the possibility of such damages. Our total liability under this Agreement shall not exceed the total amount paid by you for the App in the 12 months preceding the claim.

10. Governing Law and Dispute Resolution​

This Agreement shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Denmark.

11. Changes to Terms​

We reserve the right to modify this Agreement at any time. Changes will be effective upon posting through AppSource or in the App interface. Your continued use of the App following notice of changes constitutes your acceptance of those changes.
